Terms of Service

1. Acceptance of Terms

By accessing or using CloudOptix ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CloudOptix is a cloud cost optimization platform that provides:

  • Multi-cloud cost monitoring and analytics across AWS, GCP, and Azure
  • AI-powered cost optimization recommendations
  • An AI assistant (OptixAI) for cloud cost queries
  • Anomaly detection and budget alerting
  • Resource utilization tracking and rightsizing suggestions

The Service requires read-only access to your cloud provider accounts. We do not make changes to your cloud infrastructure.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains current

4. Cloud Account Access

By connecting your cloud accounts, you grant CloudOptix read-only access to billing data, resource metadata, and usage metrics. You represent that:

  • You have authorization to grant this access
  • The credentials you provide are limited to read-only permissions
  • You understand that CloudOptix will query your cloud provider APIs to retrieve cost and usage data

You may revoke access at any time by removing the connected account from your CloudOptix settings or by revoking the IAM role/service account from your cloud provider.

5. AI-Generated Recommendations

CloudOptix uses artificial intelligence to generate cost optimization recommendations. You acknowledge and agree that:

  • Recommendations are suggestions, not instructions. You are responsible for evaluating and implementing any changes.
  • While we verify recommendations through multiple validation stages, savings estimates are projections and not guarantees.
  • AI-generated responses may occasionally contain inaccuracies. Always verify critical information independently.
  • Implementing recommendations may affect your infrastructure performance. Evaluate risks before making changes.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts to access the Service beyond normal API usage
  • Share your account credentials with unauthorized parties
  • Use the Service to compete with CloudOptix or build a competing product
  • Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

The Service, including its design, features, AI models, and documentation, is owned by CloudOptix and protected by intellectual property laws. You retain ownership of your cloud account data. We do not claim any rights to your infrastructure data.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.

8. Pricing and Payment

CloudOptix is currently in Early Access. Pricing and payment terms will be established before the general availability launch. We will provide at least 30 days' notice before any fees are charged.

When pricing is established, continued use of the Service after the notice period constitutes acceptance of the applicable fees.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law, CloudOptix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Business interruption
  • Costs incurred from implementing AI-generated recommendations
  • Infrastructure changes made based on our suggestions
  • Inaccuracies in cost projections or savings estimates

Our total liability shall not exceed the amount you paid to CloudOptix in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that savings estimates will be achieved, that recommendations will be error-free, or that the Service will meet your specific requirements.

12. Termination

Either party may terminate the agreement at any time. You may delete your account through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms or engage in activity that may harm other users or the Service.

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account deletion, unless retention is required by law.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
